Description of Services and Acceptance of Terms of Use

Welcome to the mobile application Dagbooks (the “App”), which is operated by Dag Heward-Mills Ministries (“DHMM”, “we”, or “us”). The services provided on the App include digital books, reference materials, and other related features, content, or applications offered from time to time by DHMM in connection with the App (collectively, the “Services”). By visiting the App and/or any resulting website (together “Dagbooks”) or using the Services, whether as a guest or a registered user, you accept and agree to these Terms, including any future modifications, and to abide by all applicable laws, rules, and regulations.

Please read through this agreement, as well as the Privacy Policy, carefully. All information collected by DHMM on or through Dagbooks is subject to our Privacy Policy. By visiting the App or using the Services, you consent to all actions taken by DHMM with respect to your information in compliance with the Privacy Policy.

DHMM may modify these Terms from time to time, in its sole discretion. Any changes are effective upon posting on the App or Website. Your continued use of the App or the Services following any such modification constitutes your acceptance and agreement to the Terms as modified.

DHMM reserves the right to change or cease offering Dagbooks or any part, portion, or functionality without notice. DHMM will not be liable if for any reason all or any part of Dagbooks is not available at any time.

Intellectual Property Rights

Dagbooks and its contents, features, and functionality (including but not limited to software, text, images, audio, videos, and the design, selection, and arrangement of the same) (collectively the “Content”) are owned by DHMM, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The names and logos of Dagbooks and DHMM, all related names, logos, product and service names, designs, and slogans are trademarks and/or copyrights of DHMM. All other names, logos, product and service names, designs, and slogans on Dagbooks are the trademarks of their respective owners.

Except as expressly set forth in these Terms or otherwise expressly granted to you in writing by DHMM, no rights (either by implication, estoppel, or otherwise) in or to the Content are granted to you. All rights not expressly granted to you are reserved by DHMM.

Permitted Use

DHMM allows you to use Dagbooks in accordance with these Terms for your personal, non-commercial use. Except as provided in these Terms, you may not copy, download, stream, capture, reproduce, duplicate, archive, upload, modify, translate, publish, broadcast, transmit, retransmit, distribute, perform, display, sell, or otherwise use any Content appearing on the App.

YOUR USE OF DAGBOOKS, ITS CONTENT, AND ANY FUNCTIONALITY, SERVICES, OR ITEMS OBTAINED THROUGH DAGBOOKS IS AT YOUR OWN RISK. ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DHMM MAKES NO WARRANTY OR REPRESENTATION REGARDING THE ACCURACY, RELIABILITY, OR AVAILABILITY OF DAGBOOKS.

TO THE FULLEST EXTENT PROVIDED BY LAW, DHMM DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT WILL DHMM, ITS LICENSORS, SERVICE PROVIDERS, OR ANY OF THEIR EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF DAGBOOKS, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Indemnification

You agree to defend, indemnify, and hold harmless DHMM, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from any claims, liabilities, damages, or expenses arising out of your violation of these Terms or your use of Dagbooks.

Governing Law and Jurisdiction

All matters relating to Dagbooks and these Terms shall be governed by the laws of the Republic of Ghana without regard to its conflict of law principles. Any legal suit or proceeding arising out of these Terms shall be instituted exclusively in the courts of Accra, Ghana. By agreeing to these Terms and using Dagbooks, you waive any objections to the jurisdiction and venue of such courts.

Waiver and Severability

DHMM may only waive its rights under these Terms in writing. If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the extent that the remaining provisions continue in full force and effect.

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and DHMM with respect to Dagbooks and supersede all prior agreements, whether written or oral.
